2. Nature of the Services; no medical or therapeutic relationship

2.1 The Course is an educational and coaching programme intended for persons who are sober, sober-curious, abstaining temporarily, or who wish to examine their relationship with alcohol.

2.2 The Course does not constitute medical treatment, addiction treatment, psychotherapy, counselling, diagnosis, or the practice of medicine in any form, and is not a substitute for professional medical or psychological care. No physician-patient, therapist-client or other professional healthcare relationship is created by your use of the Services.

2.3 Cessation of alcohol consumption may, in certain circumstances, give rise to serious medical risk. If you consume alcohol heavily or on most days, you must consult a qualified medical practitioner before discontinuing or substantially reducing consumption. Where you are in crisis, you should contact a qualified medical practitioner, your local emergency services, or one of the support services identified within the Course.

2.4 You retain sole responsibility for decisions concerning your health. The Company makes no representation, warranty or guarantee as to any medical, psychological, behavioural or financial outcome arising from use of the Course.

3. Orders and formation of contract

3.1 The display of the Course on the website constitutes an invitation to treat and not an offer. Your order constitutes an offer to purchase, which the Company may accept or decline at its discretion.

3.2 A contract is formed only upon despatch by the Company of an order confirmation to the email address supplied by you.

3.3 Where the Company is unable to accept an order, including by reason of a pricing or description error or a failure of payment authorisation, it shall notify you and refund any sum paid in full.

3.4 Prices are displayed in the presentment currency applicable to your location. The currency in which payment is taken is confirmed at checkout. Applicable taxes are disclosed prior to payment.

3.5 The Company may vary its prices at any time. A variation does not affect any order for which a contract has already been formed.

3.6 One order entitles the Customer to one personal account. Multi-user, corporate or institutional access is available only by separate written agreement.

4. Accounts and eligibility

4.1 You must be aged eighteen (18) years or over to purchase or use the Services.

4.2 Access credentials are personal to you and may not be assigned, transferred, sublicensed, sold or shared. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account.

4.3 You must notify the Company at help@theclearwaycollective.com promptly upon becoming aware of any unauthorised use of your account.

5. Duration of access

5.1 The Course is supplied for a single payment and is not a subscription. No recurring charge arises, and access is not subject to any fixed expiry date.

5.2 For the avoidance of doubt, access continues for so long as the Company continues to operate the Services. Should the Company determine to discontinue the Services, it shall give not less than sixty (60) days' prior notice by email, during which period you may export all User Content.

6. Licence and intellectual property

6.1 All intellectual property rights in the Services and the Course Content are and remain vested in the Company or its licensors.

6.2 Subject to your compliance with these Terms, the Company grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Course Content for your own personal and non-commercial purposes for the duration of your account.

6.3 You shall not, and shall not permit any third party to: reproduce, download for redistribution, publish, broadcast, sell, rent, sublicense, or otherwise make available the Course Content; make any screen recording or other capture of the Course Content; use the Course Content to deliver any programme, course or service to third parties; or use the Course Content to train, fine-tune or evaluate any machine learning or artificial intelligence system.

6.4 Requests for permissions falling outside the scope of clause 6.2 should be addressed to the Company in writing.

7. User Content

7.1 You retain all rights in and to your User Content.

7.2 You grant the Company a limited, non-exclusive, royalty-free licence to host, store, transmit and reproduce User Content solely to the extent necessary to provide the Services to you, including synchronisation across your devices.

7.3 The Company shall not publish, disclose, license or commercially exploit User Content, and shall not use it for marketing purposes. Processing of User Content is further governed by the Privacy Policy.

8. Availability and modification of the Services

8.1 The Company shall use reasonable endeavours to maintain the availability of the Services but does not warrant that access will be uninterrupted, timely or free from error.

8.2 The Company may suspend access for the purposes of maintenance, repair or upgrade, and shall where reasonably practicable give advance notice of any planned suspension.

8.3 The Company may modify, supplement or replace elements of the Course Content from time to time, provided that no such modification shall materially diminish the substance of the Course as purchased.

9. Acceptable use

9.1 You shall not: access or attempt to access the Services otherwise than through the interfaces provided; circumvent, disable or interfere with any security or access-control feature; reverse engineer, decompile or disassemble any part of the Services; introduce any malicious code; impose an unreasonable load upon the infrastructure; or use the Services for any unlawful purpose or to harass any person.

9.2 Breach of this clause 9 constitutes a material breach of these Terms.

10. Refunds and cancellation

Refunds and cancellation are governed by the Refund Policy, which is incorporated into these Terms by reference.

11. Conformity of digital content

11.1 The Company warrants that the Course Content shall correspond to the description given by the Company, shall be of satisfactory quality, and shall be fit for the purposes for which digital content of that kind is ordinarily supplied.

11.2 Where the Course Content fails to conform, you should notify the Company at help@theclearwaycollective.com. The Company shall bring the Course Content into conformity within a reasonable time and without significant inconvenience to you. Where it fails to do so, you are entitled to a proportionate reduction in price or to terminate the contract and receive a refund.

11.3 This clause is in addition to, and does not limit, any statutory right available to you under the consumer protection law of your country of residence, including, in respect of Customers resident in the European Economic Area, the rights conferred by Directive (EU) 2019/770 on contracts for the supply of digital content and digital services.

12. Limitation of liability

12.1 Nothing in these Terms excludes or limits the liability of the Company for: death or personal injury caused by its negligence; fraud or fraudulent misrepresentation; or any other liability which may not lawfully be excluded or limited.

12.2 Subject to clause 12.1, the Company shall not be liable for loss which was not reasonably foreseeable at the time the contract was formed, nor for loss of profit, loss of business, business interruption, or loss of business opportunity, the Services being supplied for personal and non-commercial use.

12.3 Subject to clause 12.1, the aggregate liability of the Company arising out of or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total sum paid by you to the Company for the Course.

12.4 The Company shall not be liable for any failure or delay in performance arising from circumstances beyond its reasonable control, including failure of telecommunications networks or of any third-party infrastructure provider.

13. Termination

13.1 You may discontinue use of the Services at any time and may delete your account and User Content through the Settings function of the member application.

13.2 The Company may suspend or terminate your access where you are in material breach of these Terms. Save where the breach is incapable of remedy or where immediate suspension is necessary to protect the Services or other users, the Company shall first give notice of the breach and a reasonable opportunity to remedy it, and shall afford you a reasonable opportunity to export User Content.

13.3 Clauses 6, 7, 12 and 16 survive termination.

14. Amendment of these Terms

14.1 The Company may amend these Terms, including to reflect changes in law, regulation or the operation of the Services. The version published on the website is the operative version and the revision date shall be updated accordingly.

14.2 Where an amendment materially affects your rights, the Company shall give notice by email prior to the amendment taking effect.

15. Complaints

15.1 Complaints should be addressed to help@theclearwaycollective.com. The Company shall acknowledge receipt within [ONE / TWO] working days and shall seek to resolve the matter within fourteen (14) days.

15.2 Where a complaint is not resolved, Customers resident in the United Arab Emirates may refer the matter to the consumer protection authority of the relevant Emirate or to the Ministry of Economy. Customers resident elsewhere may refer the matter to the competent consumer protection body in their country of residence.

16. Governing law and jurisdiction

16.1 These Terms and any non-contractual obligation arising out of or in connection with them are governed by the laws of the United Arab Emirates.

16.2 The courts of [EMIRATE] shall have jurisdiction, save that where the Company is established in a financial free zone, the [DIFC / ADGM] Courts shall have jurisdiction.

16.3 Where you contract as a consumer, clauses 16.1 and 16.2 do not deprive you of the protection afforded by the mandatory provisions of the law of your country of habitual residence, and do not deprive you of any right to bring proceedings before the courts of that country where such right is conferred by law.

17. General

17.1 Severance. Where any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force.

17.2 Waiver. No failure or delay by the Company in exercising any right shall operate as a waiver of that right.

17.3 Entire agreement. These Terms, together with the Privacy Policy and the Refund Policy, constitute the entire agreement between the parties in respect of their subject matter.

17.4 Third party rights. A person who is not a party to these Terms has no right to enforce any of its provisions.

17.5 Assignment. You may not assign or transfer your rights under these Terms. The Company may assign its rights and obligations upon notice to you, provided your rights are not thereby prejudiced.
